Sir John Risley. For your observations,

please.

The point is as to the keeping

by a Company registered in this country and doing business in China, of a branch

register at Shanghai. There has been a correspondence between the Board of Trade, the Privy Council and the Foreign Office, the upshot of which is:-

(1) That Sections 34/36 of the Companies

To Shanghar (Consolidation) Act 1908 could be extended by Order in Council.

(2) That these Sections have not actually

been so extended, and

(3)

That the position is complicated by

the fact that Companies carrying on business in China are subject to the provisions of

It the Companies Ordinance of Hong Kong. is suggested that a licence to keep a local register might therefore be given by the registe either in Hong Kong or Shanghai

ኢ. under Section 35 of the Companies Ordinance

In view however of Section 261 (e)

of the ordinance, it is questioned whether

granted

the licence could be counted to any Company

whichis not incorporated in Hong Kong.
